1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the LOOP website (loopfurniture.com.au or such other URL as LOOP may use from time to time) and your engagement with LOOP’s products and services. By browsing our website, submitting an enquiry, or entering into any agreement with LOOP, you agree to be bound by these Terms.
LOOP is committed to sustainable, circular solutions for the commercial furniture industry. These Terms apply to all website visitors, enquiry submitters, clients and any other persons who interact with LOOP.
2. About LOOP
LOOP (“we”, “us”, “our”) operates as a commercial furniture business providing:
- Circular furniture solutions including the sale, resale, and reuse of commercial furniture products.
- Furniture auditing services to assess, catalogue, and evaluate existing commercial furniture assets.
Consultation and advisory services relating to sustainable furniture practices. - Procurement and sales of new commercial furniture products sourced from leading manufacturers and suppliers.
- Other related products and services as offered from time to time.
LOOP’s products are available for purchase via enquiry. Pricing, availability, and specifications are confirmed through our direct sales process rather than through an automated e-commerce checkout.
3. Enquiries and Sales Process
3.1 Enquiries and Sales Process
All product purchases and service engagements are initiated through a formal enquiry process. Submitting an enquiry via our website or any other communication channel does not constitute a binding order or contract.
A binding agreement is only formed when LOOP issues a written quote or proposal and you provide written acceptance of that quote or proposal, including agreement to any specific terms set out therein.
3.2 Quotes
All quotes issued by LOOP are valid for the period stated in the quote. Where no period is stated, quotes are valid for 14 days from the date of issue. LOOP reserves the right to withdraw or amend a quote at any time prior to your written acceptance.
3.3 Product Descriptions and Availability
LOOP takes reasonable care to ensure that product descriptions, images, and specifications on our website are accurate. However, commercial furniture products particularly circular or resale items may vary in condition, colour, and configuration. Final product specifications will be confirmed in writing prior to the completion of any sale.
Product availability is subject to change without notice. LOOP is not liable for any loss or inconvenience arising from the unavailability of a product after an enquiry has been submitted.
4. Services
4.1 Scope of Services
LOOP provides a range of commercial furniture services, including but not limited to furniture auditing and circular furniture advisory. The scope, deliverables, timeline, and fees for any services will be agreed in writing prior to the commencement of work.
4.2 Client Obligations
To enable LOOP to deliver its services effectively, clients agree to:
• Provide accurate and complete information relevant to the engagement;
• Grant LOOP reasonable access to premises, furniture, or other assets as required;
• Designate an appropriate contact person to facilitate communication;
• Review and provide timely feedback on any deliverables or reports.
4.3 Audit Services
Where LOOP is engaged to conduct a furniture audit, the audit report and findings are provided for the client’s internal use only. LOOP’s audit reports reflect conditions as observed at the time of audit and should not be relied upon as a valuation, legal, or financial assessment. LOOP accepts no liability for decisions made on the basis of audit reports.
4.4 Audit Platform and Third-Party Technology
LOOP’s furniture auditing services are delivered using a proprietary audit portal application developed and operated by a third-party technology partner. Data collected during the audit process — including asset records, condition assessments, photographs, and site information — is captured and stored within this platform.
By engaging LOOP’s audit services, the client consents to relevant data being processed through this platform. LOOP takes reasonable steps to ensure that its technology partner handles data in accordance with applicable privacy obligations. The platform may store or process data on servers located in Australia or overseas. LOOP is not liable for the acts or omissions of the third-party platform provider, except to the extent that liability cannot be excluded under applicable law. 5. Pricing and Payment
5.1 Pricing
All prices quoted by LOOP are in Australian Dollars (AUD) and, unless otherwise stated, are exclusive of Goods and Services Tax (GST). GST will be applied at the applicable rate and detailed in any tax invoice issued by LOOP.
5.2 Payment Terms
Payment terms will be specified in each quote or agreement. Where not otherwise specified, the following default terms apply:
• A deposit of 50% of the total agreed amount is due upon acceptance of a quote;
• The remaining balance is due prior to delivery of products or completion of services;
• Payment must be made by the method agreed with LOOP at the time of engagement.
For projects with a total value exceeding $100,000 (AUD), staged milestone-aligned payment terms may be negotiated at LOOP’s discretion. Any alternative payment schedule must be agreed in writing prior to commencement of the project and will form part of the relevant quote or agreement.
5.3 Late Payment
LOOP reserves the right to charge interest on overdue amounts at a rate of 2% per month (or the maximum rate permitted by law, whichever is lower), calculated daily from the due date until the date of payment. LOOP also reserves the right to suspend services or withhold delivery of products where payment is overdue.
6. Delivery and Risk
Unless otherwise agreed in writing, delivery arrangements, timelines, and associated costs will be confirmed at the time of sale. LOOP will use reasonable endeavours to meet any stated delivery timelines, however, delivery dates are estimates only and LOOP is not liable for delays outside its reasonable control.
Risk in products passes to the client upon delivery. Title to products does not pass to the client until payment in full has been received by LOOP.
7. Returns and Consumer Guarantees
7.1 Australian Consumer Law
Our products and services come with guarantees that cannot be excluded under the Australian Consumer Law (“ACL”). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
7.2 Change of Mind Returns
LOOP does not accept returns for change of mind in respect of products sold via the enquiry process. Returns or exchanges may be considered at LOOP’s sole discretion and will be subject to a restocking fee where applicable.
7.3 Circular and Pre-Owned Products
Where products are described as pre-owned, refurbished, or circular, they are sold in ‘as inspected’ condition unless a specific warranty is provided in writing. LOOP will disclose any known defects or significant wear at the time of sale. Clients are encouraged to inspect products prior to purchase where possible.
7.4 Manufacturer Warranties for New Products
New commercial furniture products procured and sold by LOOP may carry warranties provided by the relevant manufacturer or supplier. The terms, duration, and coverage of any such warranty are as set out in the applicable product specifications or manufacturer documentation provided at the time of sale. LOOP will reasonably assist clients in making warranty claims directly with the manufacturer where required, but LOOP is not liable for the performance or fulfilment of any manufacturer warranty.
7.5 Workmanship Warranty for Services
LOOP warrants that services will be performed with reasonable care and skill. Where a defect in workmanship is identified within 90 days of completion of the relevant services, LOOP will, at its election, re-perform the affected services or provide an appropriate remedy at no additional cost to the client. This warranty does not apply where the defect arises from client-supplied information, client instructions, or circumstances outside LOOP’s reasonable control.
7.6 Warranty for Circular, Reused, and Reupholstered Products
Circular, reused, and reupholstered products are covered by the minimum guarantees applicable under the Australian Consumer Law. These guarantees require that products be of acceptable quality for a reasonable time, having regard to the nature of the goods, their disclosed condition at the time of sale, and the price paid. No additional warranty beyond these statutory minimums is provided for circular, reused, or reupholstered products unless expressly stated in writing by LOOP.
7.7 Warranty Exclusions
To the extent permitted by law, warranties do not cover defects or failures arising from:
• Misuse, abuse, or use of the product outside its intended purpose;
• Unauthorised modification, repair, or alteration of the product;
• Normal wear and tear consistent with the age, condition, and use of the product;
• Failure to follow any care, maintenance, or installation instructions provided by LOOP or the manufacturer;
• Damage caused by environmental factors, including exposure to moisture, sunlight, or extreme temperatures.
8. Use of Website
8.1 Permitted Use
You may access and use the LOOP website for lawful purposes and in accordance with these Terms. You must not:
• Use the website in any way that breaches any applicable law or regulation;
• Transmit any unsolicited or unauthorised advertising or promotional material;
• Attempt to gain unauthorised access to any part of the website or its related systems;
• Use automated tools to scrape, harvest, or extract content from the website.
8.2 Website Availability
LOOP does not warrant that the website will be uninterrupted or error-free. We reserve the right to suspend, withdraw, or modify any part of the website at any time without notice.
8.3 Third-Party Links
The website may contain links to third-party websites. These links are provided for convenience only and LOOP does not endorse, control, or accept responsibility for the content or practices of any third-party website.
9. Intellectual Property
All content on the LOOP website, including but not limited to text, images, graphics, logos, and design elements, is owned by or licensed to LOOP and is protected by Australian and international intellectual property laws.
You may not reproduce, distribute, adapt, or otherwise use any content from our website without LOOP’s prior written consent, except as permitted by law or for personal, non-commercial use.
10. Privacy
LOOP collects and handles personal information in accordance with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles. Our Privacy Policy, available on our website, explains how we collect, use, store, and disclose personal information.
By submitting an enquiry or otherwise providing personal information to LOOP, you consent to our handling of that information in accordance with our Privacy Policy.
11. Limitation of Liability
To the maximum extent permitted by law, LOOP’s total liability to you for any loss or damage arising out of or in connection with these Terms, our products, or our services — whether in contract, tort (including negligence), or otherwise — is limited to the amount paid by you to LOOP in respect of the relevant product or service giving rise to the claim.
LOOP excludes all liability for indirect, consequential, special, or incidental loss or damage, including loss of profits, loss of revenue, loss of data, or loss of business opportunity, to the fullest extent permitted by law.
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the ACL which cannot lawfully be excluded or limited.
12. Indemnity
You agree to indemnify, defend, and hold harmless LOOP and its officers, employees, contractors, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms or your misuse of our website, products, or services.
13. Force Majeure
LOOP is not liable for any failure or delay in performing its obligations under these Terms where that failure or delay is caused by circumstances beyond LOOP’s reasonable control, including acts of God, natural disasters, pandemic, war, civil unrest, supply chain disruption, industrial action, or failure of third-party service providers.
14. Amendments to These Terms
LOOP may update these Terms from time to time by publishing a revised version on our website. The revised Terms take effect from the date of publication. Your continued use of our website or engagement with LOOP after publication of revised Terms constitutes your acceptance of those changes.

15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia. You and LOOP submit to the non-exclusive jurisdiction of the courts of Victoria for the resolution of any disputes arising under or in connection with these Terms
